Welcome to Green D Market Analytics LLC (“we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our market data portal (the “GreenDMA Portal”). By accessing or using the GreenDMA Portal, you (“user,” “your,” or “subscriber”) agree to comply with and be bound by these Terms. If you do not agree to these Terms, you are not permitted to use the Portal.

Acceptance of Terms

By accessing the Portal, you confirm that you are at least 18 years of age and agree to comply with these Terms. If you are accessing the Portal on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Changes to Terms

We reserve the right to update or modify these Terms at any time without prior notice. Any changes will take effect immediately upon posting. It is your responsibility to review the Terms periodically. Your continued use of the Portal following any changes signifies your acceptance of the revised Terms.

Use of GreenDMA Portal

You are granted a limited, non-exclusive, non-transferable license to access and use the Portal for your internal, personal, or company purposes. You agree to use the GreenDMA Portal solely for lawful purposes and in compliance with these Terms.

Prohibited Uses:

• Engaging in unauthorized data scraping or mining activities.
• Reproducing, distributing, or publicly displaying content from the Portal without prior written consent.
• Using the Portal for any illegal or fraudulent activities.
• Attempting to gain unauthorized access to our systems or user accounts.

User Accounts

To access the GreenDMA Portal, you are required to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately if you suspect any unauthorized use of your account.

Intellectual Property

All content available on the GreenDMA Portal, including but not limited to data, reports, analytics, software, text, graphics, and logos (the "Content"), is the intellectual property of Green D Market Analytics LLC or its licensors. You are prohibited from copying, modifying, distributing, or creating derivative works from any of the Content without our prior written consent.

Data Usage & Ownership

The market data and reports available through the GreenDMA Portal are proprietary and are protected by copyright and other intellectual property laws. You are permitted to use the data for your internal business purposes only. However, you may not resell, redistribute, or make the data available to third parties without our prior written consent.

Confidentiality

The restrictions and obligations outlined in these Terms shall remain in effect following the expiration, termination, or cancellation of the Data Services. They will continue beyond the termination of the business relationship between the parties and shall bind both parties, including their successors, employees, officers, directors, managers, representatives, heirs, and assigns, for the longer of three (3) years from the date of termination or expiration of the Data Services or your last use of the GreenDMA Platform, or until the Confidential Information covered by these Terms becomes part of the public domain through lawful means.

You agree to:

• Maintain the confidentiality of the Confidential Information and take all necessary precautions to prevent unauthorized disclosure.
• Not disclose the Confidential Information to any third party without the consent of Green D Market Analytics LLC, except as required by law.

The confidentiality obligations do not apply to information that:

• Becomes publicly available without violating these Terms.
• Was already in your possession, as evidenced by written records, prior to its disclosure by Green D Market Analytics LLC.
• Is received from a third party without breach of any confidentiality obligation.

Confidential Information may be disclosed without violating these Terms if required by a court, judicial authority, or government agency with competent jurisdiction, or by applicable law, rule, or regulation. In such cases, you must provide Green D Market Analytics with prompt written notice before disclosing the information.

Payment & Subscriptions

Access to all areas of the GreenDMA Portal requires a paid annual subscription. By purchasing a subscription, you agree to provide accurate payment information and authorize us to charge the designated payment method for the applicable fees. All subscription fees are non-refundable unless otherwise specified.

Cancellations:

You may cancel your subscription at any time; however, no refunds will be issued for the remaining period of the subscription term.

Disclaimer of Warranties

The GreenDMA Portal and its content are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. We do not guarantee that the GreenDMA Portal will be error-free.

Neither the User nor its affiliates shall hold Green D Market Analytics LLC liable for any damages, whether direct or indirect, including but not limited to loss of business, loss of profits, punitive or consequential damages, or damages arising from contract, tort, or any action taken in reliance on the information provided through the Data, our Analytical Platform, or any other Data Services associated with Green D Market Analytics LLC.

The representations and warranties outlined in this section are the sole and exclusive warranties made by Green D Market Analytics LLC. We make no additional representations, warranties, or guarantees of any kind, including implied warranties of merchantability, satisfactory quality, non-infringement, or fitness for a particular purpose. Green D Market Analytics LLC does not warrant or guarantee any specific outcomes from the use of the GreenDMA Portal and its content.

Limitation of Liability

To the fullest extent permitted by law, Green D Market Analytics LLC shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from or related to your use of the Portal, even if we have been advised of the possibility of such damages.

Indemnification

You agree to indemnify and hold harmless Green D Market Analytics LLC, along with its affiliates, officers, employees, and agents, from any claims, liabilities, damages, losses, or expenses arising from your use of the GreenDMA Portal or your violation of these Terms.

Termination

These Terms and the Data Services shall remain in effect for the period specified in the applicable invoice or similar document mutually agreed upon by you and Green D Market Analytics LLC (the “Effective Period”), including any extensions thereof. Unless otherwise specified in such a mutually executed agreement, both parties acknowledge and agree that the Data Services will be provided for the duration of the Effective Period.

As a courtesy, Green D Market Analytics will provide written notification of the subsequent opt-in renewal (for a term equivalent to the initial Effective Period) at least ninety (90) days before the conclusion of the current Effective Period as there are no automatic renewals for this service. We will also notify you of any updated fee schedule prior to the commencement or renewal of any subsequent Effective Period.

Either party may terminate the Data Services by providing written notice to the other party if:

• Either party is adjudicated bankrupt, files a voluntary petition for bankruptcy, or admits in writing that it is unable to meet its financial obligations as they come due in the normal course of business; or
• The other party (the “Defaulting Party”) fails to fulfill its obligations under these Terms or any related data services schedule, and such default continues for more than thirty (30) days after receiving written notice specifying the nature of the default.

Upon the expiration or termination of the Data Services for any reason, access to the GreenDMA Portal, along with all tools and data available through the Platform, will terminate immediately.

We reserve the right to terminate or suspend your access to the GreenDMA Portal at any time, with short notice, if you breach any provision of these Terms.
